The SEC has filed charges against Colorado-based penny-stock issuer Western Sierra Resource Corporation and its top executives, CEO Roger Johnson and CFO Dennis Atkins. From June 2021 through October 2023, the defendants allegedly used press releases, regulatory filings, and their website to claim they had paid $10 million for an interest in Nevada gold mining claims. In reality, the complaint alleges the company did not pay the $10 million and owned no mining claims at all. The SEC accuses the defendants of violating the antifraud provisions of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5(b). The commission is seeking permanent injunctive relief and civil penalties against all defendants. Additionally, the SEC is pursuing officer-and-director and penny-stock bars against Johnson and Atkins.
