The SEC has charged Mario Gogliormella, Steven Lacaj, and Karim Ibrahim with fraud for selling unregistered membership interests in StraightPath and Legend Venture Partners LLC. The defendants allegedly used a sales force of over 50 callers to pressure investors into buying shares marked up by 19% to 105% above cost. The complaint alleges violations of the Securities Act, Exchange Act, and Advisers Act, seeking permanent injunctions and the return of ill-gotten gains.
The SEC has charged Mario Gogliormella, Steven Lacaj, and Karim Ibrahim with orchestrating a fraudulent boiler room scheme involving StraightPath Venture Partners LLC and Legend Venture Partners LLC. Between 2019 and 2022, the defendants allegedly directed an unregistered sales force of over 50 callers to pressure retail investors into purchasing unregistered membership interests. These transactions involved pre-IPO shares that were substantially marked up by an average of 19% to 105% above the prices paid by the entities. As a result of these high-pressure tactics, the defendants and their sales force allegedly pocketed more than $45 million in fees. The SEC's complaint alleges multiple violations of the Securities Act, the Exchange Act, and the Investment Advisers Act. In addition to seeking permanent injunctive relief and civil penalties, the SEC is pursuing the return of all ill-gotten gains. Parallel to this civil action, the U.S. Attorney's Office for the Southern District of New York has unsealed a criminal indictment against the three defendants for securities fraud.

Both StraightPath and Legend are now under court-ordered receiverships. In this new action, the SEC's complaint alleges that between 2019 to 2022, Gogliormella, Lacaj, and Karim Ibrahim directed an unregistered sales force of more than 50 callers in boiler rooms to pressure investors into making investments without telling them that the shares had been substantially marked up-between approximately 19 and 105 percent on average above the prices that StraightPath or Legend had paid for the underlying shares. As a result of these tactics, the defendants and their sales force allegedly pocketed more than $45 million in fees from unsuspecting investors.
