Release
2006-168
summary

The SEC announced scheduled fee rate reductions for fiscal year 2007 under federal securities laws, lowering registration and proxy fees from $107.00 to $30.70 per million and transaction fees from $30.70 to $15.30 per million, with no fraud, charges, or misconduct involved.

paragraph

The U.S. Securities and Exchange Commission issued a fee rate advisory on September 29, 2006, detailing planned reductions for fiscal year 2007 under Sections 6(b), 13(e), 14(g), and 31 of the Securities Acts. Registration, repurchase, and proxy fees will decrease from $107.00 to $30.70 per million five days after appropriation enactment, while securities transaction fees will drop from $30.70 to $15.30 per million thirty days after enactment. No enforcement actions, penalties, or allegations of fraud are present—this is purely an administrative notice of fee adjustments tied to congressional funding timelines.

narrative

The U.S. Securities and Exchange Commission issued Fee Rate Advisory #3 on September 29, 2006, to inform the public of scheduled fee reductions effective in fiscal year 2007. Under a continuing resolution extending through November 17, 2006, existing fee rates remained in place until the SEC’s regular appropriation was enacted. Five days after appropriation enactment, Section 6(b), 13(e), and 14(g) fees for securities registration, repurchases, and proxy solicitations would decrease from $107.00 to $30.70 per million. Thirty days after enactment, Section 31 transaction fees on exchanges and OTC markets would fall from $30.70 to $15.30 per million, and security futures transaction fees would drop to $0.0042 per round turn from $0.009. The SEC provided public resources, including links to NYSE and NASD websites and contact information for its Division of Market Regulation, to assist stakeholders with the transition. No individuals, entities, or misconduct were implicated—this notice was purely administrative, outlining regulatory fee adjustments contingent on congressional funding. The full order was available online, and further updates were promised via the SEC’s website.
